BREAKING NEWS: A Utah Firm is Getting Bought for $550 Million and Virtually No One in the State Knows about This?!?!?!

West Valley City-based Scientia Vascular has agreed to be purchased by Medtronic in a transaction valued at $550 million. Additional "earn outs" and "milestone payments" are also possible post-acquisition, Medtronic says.

Scientia Vascular, a fairly low-profile yet increasingly important 17-year-old medical device company headquartered in West Valley City, Utah, is being acquired for $550 million by Galway, Ireland-based Medtronic (NYSE:MDT), with the final acquisition price "... subject to customary adjustments ...".

According to the Medtronic news release, "Scientia's portfolio of guidewires and catheters" are "best-in-class access products" used by "physicians treating complex neurovascular conditions" (such as stroke, aneurysm, and various brain diseases).

It is not clear from the news release or Medtronic's filings with the U.S. Securities and Exchange Commission the type of compensation Scientia shareholders will receive, whether all cash, all stock, a combination of both, or other forms of renumeration.

However, the Scientia acquisition "is expected to close" sometime in the first half of Medtronic's fiscal 2027, which does not occur until the latter half of April 2027.

Additionally, the purchase is "... subject to regulatory approvals and satisfaction of other closing conditions."

However, according to the release, the terms of the acquisition also include "... potential undisclosed earn-out and milestone payments post-acquisition."

According to Linnea Burman, senior vice president and president of Medtronic's neurovascular business within its "Neuroscience Portfolio," the company sees the Scientia acquisition as "accelerat(ing) meaningful innovation in neurovascular care."

"This acquisition ... builds a strong foundation for Medtronic and supports procedures across both hemorrhagic and acute ischemic stroke. Medtronic's best-in-class therapies, combined with Scientia's leading access portfolio, will be incredibly powerful."

From my perspective, some may call it coincidence, but this acquisition announcement was made just 48 hours before the 2026 BioUtah Entrepreneur & Investor Summit being held today in Salt Lake City.

According to BioUtah CEO, Kelvyn Cullimore:

"The acquisition of Scientia Vascular by Medtronic serves as further evidence of the credible and incredible work being done by Utah’s life sciences community.
"This transaction validates not only the excellent work of the team at Scientia but of the fertile environment that supports the innovative culture of Utah."

As Rick Randall, CEO of Scientia said:

"This deal allows us to take our engineering into disease states globally and positions Medtronic with a comprehensive portfolio and complete guidewire line. With the size and scale of Medtronic, the opportunity to treat more patients and drive more impact is truly exciting."

A Quick Scientia Vascular Overview

Scientia Vascular was formed in "a humble garage" in Reno, Nevada by John Lippert in November 2007, the birthplace of "the next generation of microfabrication" designed to provide better medical therapies. {Lippert currently serves as Chief Technology Officer and Engineer of Scientia.}

Some five-and-a-half-years later, Scientia relocated to Salt Lake City in June 2013 after being drawn to the state by its emerging medical device ecosystem.

Five years after that move, Scientia received marketing clearance from the U.S. Food and Drug Administration for its Aristotle 14 guidewire in May 2018.

With that clearance, the company began formal marketing and sales efforts targeting surgeons to use this 0.014-inch-wide and up to 118-inch-long nitinol-based "smart wire," a system that delivered catheters and other medical devices via patient blood vessels throughout the body, including the brain, but not into the heart.

{AUTHOR'S NOTE: As described in Wikipedia, nitinol is an alloy primarily made with nickel and titanium with unique properties. For example, guide wires made with nitinol are often considered "smart" because even after they are bent, they can "remember" and return to their original shape.}

Today, the Scienita website features four separate guidewires and two separate catheters in its product portfolio, each used in various interventional vascular procedures.

Final Thoughts

For readers not familiar with Medtronic, it's a global healthcare technology company with a base of over 90,000 employees deployed in 150+ countries.

As the news release explains, its "...technologies and therapies treat 70 health conditions and include cardiac devices, surgical robotics, surgical tools, patient monitoring systems, and more."

In its most recent fiscal year (ended 25 April 2025), Medtronic had "turnover" (annual revenue) of $33.5 billion and an after-tax profit of $4.7 billion.

As such, although I am not an attorney, I suspect the Scientia acquisition will not be considered a "material" event for Medtronic, especially given its annual revenue and its current assets.

I mention this only because (if I am correct), readers should not expect additional details to be disclosed by either company, either now or prior to the closing of the Medtronic acquisition of Scientia Vascular.

Regardless, although the Medtronic/Scientia deal is not slated to close until sometime between April and October 2027 (the first half of Medtronic's fiscal year), it is still Utah's largest announced financial transaction since last fall when Provo, Utah-based Green Dot announced it was being acquired for up to $1.1 billion.

In the meantime, however, somehow no other Utah-based media outlet appears aware of this Scientia acquisition as none have reported about it thus far.

To me, that's craziness; but then again, what do I know?
