Utah’s Ultradent Agrees to Be Acquired for $900 Million by Mitsui Chemicals, with a Global Dental Products HQ to be Established in South Jordan, Utah

EXECUTIVE SUMMARY

Ultradent Products, Inc. (the 50-year-old South Jordan, Utah-based dental-products company), has agreed to be acquired by Mitsui Chemicals, Inc. in a transaction valued at $900 million.

Mitsui Chemicals also registered MC Dental Holdings America, Inc. this week in Utah, the name of the new holding company that will oversee Mitsui Chemicals’ global oral-care business and be based in South Jordan.

✅ With the close of the Ultradent acquisition (slated for September 2026), Mitsui Chemicals' Germany-based dental products company, Kulzer Group, will be folded into MC Dental Holdings America, making it a global powerhouse in the dental products marketplace Utah Money Watch values conservatively at over $1.0 billion.

✅ Based upon 2025 results disclosed by Mitsui Chemicals, the transaction values Ultradent at roughly 37.5x net income, 29x operating income, and 2.4x consolidated sales.

31 July 2026 — SOUTH JORDAN, Utah — Ultradent Products, the nearly 50-year-old, family-owned dental-products company based in South Jordan, Utah, has agreed to be acquired by Mitsui Chemicals in a transaction valued at $900 million.

The acquisition was announced in June, but the Utah story sharpened this week.

Specifically, as of Wednesday, 29 July 2026 Mitsui Chemicals America has registered MC Dental Holdings America in Utah, a firm that is slated to be a new wholly owned subsidiary of Mitsui Chemicals.

And the planned headquarters for MC Dental Holdings America?

10235 South Jordan Gateway, South Jordan, Utah 84095.

That's the second headline.

In other words,

🔹 MC Dental Holdings America, the planned global initiative of Mitsui Chemicals’ oral-care business, will be based in South Jordan, with

🔹 Management of its oral-care business moving from Japan (and elsewhere) to South Jordan as well.

The announced price? $900 million, with the acquisition slated to close in September 2026.


The Deal

Mitsui Chemicals trades on the Prime Market of the Tokyo Stock Exchange (4183.T).

In its 12 June 2026 disclosure, Mitsui Chemicals said Mitsui Chemicals America would acquire Ultradent’s shares and business assets through a newly established holding company and make Ultradent a wholly owned subsidiary of Mitsui Chemicals America.

The acquisition is expected to close in September 2026, subject to

🔺 Establishing the holding company,

🔺 Transferring the contractual position to that entity,

🔺 Receiving required regulatory approvals, and

🔺 Completing filings under applicable antitrust and foreign-investment laws.

According public disclosures by Mitsui Chemicals, both transactions have been approved internally:

▪️ The Ultradent acquisition, and

▪️ The creation of MC Dental Holdings America, Inc.,

▪️ With the new company now registered in Utah.

Ichimura also said:

"We position the oral care business as the core of our medical field ... and we believe that the acquisition (of Ultradent) will strengthen our group's business foundation in the United States for its oral care business.

The Business and the Numbers

Ultradent develops, manufactures, and sells dental products, including teeth whitening and dental restorative materials.

According to Mitsui Chemicals, in 2025 (ended December 31), Ultradent

✅  Generated $372.1 million in consolidated sales,

✅  $30.9 million in operating income, and

✅  $24.0 million in net income.

Based on those figures, the $900 million transaction value equals roughly:

— 37.5x 2025 net income;
— 29x 2025 operating income; and
— 2.4x 2025 consolidated sales.

Those are Utah Money Watch calculations, with the multiples framing the buyer’s logic.

In simplest terms, Mitsui Chemicals is buying a profitable Utah-based dental-products platform with

  • Manufacturing capability,
  • Clinical expertise,
  • Direct channels to dental clinics, and
  • Global product reach.

Why Mitsui wants Ultradent

For the record, Mitsui Chemicals already owns Kulzer Group, a Germany-based dental company it acquired from Heraeus Group in 2013, a firm that currently produces annual revenue of over €300 million.

The Kulzer acquisition gave Mitsui Chemicals strength in restorative and prosthetic dental products, especially across Europe, the Middle East, and Africa.

Conversely, Ultradent gives it a U.S. business foundation in what Mitsui Chemicals says is the world’s largest healthcare market.

The Ultradent acquisition (and the combination with Kulzer), will give MC Dental Holdings America / Mitsui Chemicals America / Mitsui Chemicals global strength in

🔹 Teeth whitening,

🔹 Restorative materials,

🔹 Clinical insights,

🔹 Product development, and

🔹 Dental-practice relationships.

If the acquisition plays out as described, Utah Money Watch estimates that South Jordan will become headquarters for a holding company conservatively valued at over $1.0 billion, one that will oversee Mitsui Chemicals’ oral-care business globally.


The Impact on Utah's Life Sciences Industry

When you dig into its history, Ultradent is a family-business story, one of perseverance, determination and a vision to transform the dental industry.

But it's also a manufacturing story and a South Jordan story.

But with a $900 million transaction value, a Japanese public-company buyer, and a newly disclosed South Jordan holding-company structure, it's also massive news for Utah's Life Sciences industry.

What's Next?

The deal is expected to close in September, but there should be follow-on disclosures/announcements over the next one to two months.

Between now and then, the open questions are straightforward:

✅  How many Ultradent employees will be based in Utah post-acquisition,

✅  What functions land in South Jordan, and

✅  How visible South Jordan becomes inside Mitsui Chemicals’ global oral-care structure.
